Senior Consultant Sale & Purchase Agreement – Transaction Services

About the role

As a Senior Consultant in our Sale & Purchase Agreement (SPA) Advisory team, you will support clients through the financial aspects of M&A transactions, from pre‑signing negotiations to post‑signing price adjustments.

Key responsibilities

• Analyse net working capital, net debt and other financial levers to quantify value drivers for the EV‑to‑equity bridge.
• Advise clients on the most suitable purchase‑price mechanism (e.g., locked‑box or completion accounts) for each transaction.
• Read, comment on, and help draft the financial clauses of SPA documents, ensuring they reflect negotiated outcomes.
• Prepare and review closing accounts, earn‑out calculations and leakage reviews to determine the final purchase price.
• Collaborate with clients and other deal advisers to identify optimisation opportunities and mitigate financial risk.
• Support dispute resolution related to purchase‑price adjustments after closing.

Required profile

• Strong analytical mindset with the ability to translate complex financial data into clear negotiation points.
• Excellent communication skills, capable of presenting findings to senior stakeholders.
• Experience in M&A transactions, particularly in SPA negotiations and post‑closing price adjustments.
• Ability to work independently and as part of a multidisciplinary advisory team.
• Fluent English; additional language skills are a plus.
