General Counsel

About the role

QuantWare is scaling rapidly and needs its first in‑house lawyer to lead all legal matters. Reporting to the CFO, the General Counsel will partner with the management team through IPO readiness and beyond, handling everything from commercial contracts to corporate governance.

Key responsibilities

• Lead IPO and public‑company readiness, working with external counsel, auditors and bankers on listing, corporate structure and regulator compliance.
• Draft, negotiate and manage high‑value commercial agreements (customer, supplier, licensing, IP) while acting as the commercial risk gatekeeper.
• Prepare shareholder resolutions, board approvals and corporate filings; manage investor‑facing legal documentation.
• Provide employment‑law advice to the People team and coordinate specialist external counsel as needed.
• Select and manage outside counsel across jurisdictions, build contract playbooks, templates and approval processes.

Required profile

• Qualified lawyer with substantial in‑house experience, including IPO or public‑listing readiness and high‑value contract negotiation.
• Direct exposure to Dutch and US legal or commercial matters; multi‑jurisdictional experience a strong plus.
• Comfortable operating at C‑suite and Board level and navigating the ambiguity of a hyper‑growth scale‑up.
• Strong commercial judgement and collaborative communication style.
